(DEK), Dominion Nuclear Connecticut, Inc. (DNC) and Virginia Electric and Power Company (Dominion).
The NRC's July 15, 2008 letter included the requirement to submit an annual certification of the extent and nature (if any) of significant changes relating to the Certificate Pertaining to Foreign Interests.
Attached are updated Owners, Officers, Directors, and Executive Personnel (OODEP) lists for DEK, DNC and Dominion.
These OODEP lists include the changes in directors, officers and executive personnel previously provided to the NRC.
In addition, Annual Certifications for FOCI are provided for DEK, DNC and Dominion and their parent companies.
Dominion and DNC previously submitted certificates pertaining to foreign interests in a letter dated January 14, 2003 and DEK submitted a certificate pertaining to foreign ownership interests in a letter dated August 2, 2005 (the Certificates). DEK, DNC and Dominion have periodically updated this information. to this letter contains additional information to further update the Certificates.
In their previous submittals, DEK, DNC and Dominion submitted the certificates and OODEP lists as proprietary in their entirety. The NRC determined that this information should be withheld from public disclosure as noted by the NRC letter (J. K. Everly, Jr.) to Dominion and DNC dated February 20, 2003. Subsequent filings by DEK, DNC and Dominion have also ATTACHMENTS 1 THROUGH 5 CONTAIN INFORMATION THAT IS BEING WITHHELD FROM PUBLIC DISCLOSURE UNDER 10 CFR 2.390. UPON SEPARATION THIS LETTER IS DECONTROLLED.
Serial No. 12-003B Page 2 of 3 been withheld and exempt from public disclosure under 10 CFR 2.790 and its successor regulation, 10 CFR 2.390. Similarly, Attachments 1 through 5 to this letter contain proprietary information.
DEK, DNC and Dominion request that these attachments be withheld from public disclosure in their entirety.
In support of this request, an affidavit and declaration requesting that the NRC treat these attachments in their entirety as exempt from public disclosure under 10 CFR 2.390 is provided as Attachment 6 to this letter. Because DEK, DNC and Dominion seek to withhold these attachments in their entirety, a nonproprietary version of the attachments has not been prepared.

Serial No. 12-003B 2012 Annual FOCI, Page 1 of 2 Affidavit in Support of Request to Withhold Information From Public Disclosure Pursuant to 10 CFR 2.390 I, J. Alan Price, Vice President, Nuclear Engineering, state that:
- 1. I am authorized to execute this affidavit on behalf of Dominion Energy Kewaunee, Inc. (DEK), Dominion Nuclear Connecticut, Inc. (DNC) and Virginia Electric and Power Company (Dominion).
- 2. DEK, DNC, and Dominion are submitting Additional Information and updated Owners, Officers, Directors and Executive Personnel (OODEP) lists. In addition, Annual Certifications for Foreign Ownership, Control or Influence (FOCI) are also being submitted for DEK, DNC, and Dominion and their parent companies. This information is being submitted pursuant to the NRC's letter dated July 15, 2008, that granted a non-possessing facility security clearance at the SECRET - National Security Information level for DEK, DNC, and Dominion.
- 3. The discussion of Additional Information, OODEP forms and the Annual Certifications in their entirety contain confidential proprietary business information related to the business interests and ownership of DEK, DNC, and Dominion that should be held in confidence by the NRC pursuant to 10 CFR 9.17(a)(4) and 10 CFR 2.390(a)(4). The following factors specified in 10 CFR 2.390(b)(4) justify withholding this information from public disclosure in its entirety:
- a. This information is and has been held in confidence by DEK, DNC, and Dominion and their parent companies.
- b. This information is a type that is held in confidence by DEK, DNC, and Dominion, and there is a rational basis for doing so because the information contains sensitive business information related to the business structure, business and ownership interests of the companies. In addition, the OODEP forms contain personal privacy information in the form of social security numbers that is appropriate to withhold from public disclosure pursuant to 10 CFR 2.390(a)(6), and the release of this information from the OODEP forms would constitute a clearly unwarranted invasion of personal privacy.
- c. This information is being transmitted to the NRC in confidence.

- d. This information is not available in public sources and could not be gathered readily from other publicly available information.
- e. Public disclosure of this information would create substantial harm to DEK, DNC, and Dominion and their parent companies by disclosing the business structure and business and ownership interests of the companies to other parties whose financial interests may be adverse to DEK, DNC, and Dominion and their parent companies.
- 4. Accordingly, DEK, DNC, and Dominion request that the designated information be withheld from public disclosure pursuant to the policy reflected in 10 CFR 2.390(a)(4) and 9.17(a)(4).
