COMANCHE PEAK STEAM ELECTRIC STATION DOCKET NOS. 50-445 AND 50-446 NOTICE OF CHANGE IN TRUSTEE FOR NUCLEAR DECOMMISSIONING TRUSTS
Dear Sir or Madam:
Pursuant to 10CFR50.75(h)(1), Luminant Ge eration Company LLC (Luminant Power) hereby provides this notice that effective July 1, 2008, The *nk of New York Mellon will become the successor to Mellon Bank, N.A. which is currently the Trustee for the nuclear decommissioning trusts maintained for the above-captioned licenses.
Mellon Bank, N.A. is currently Trustee pursuant to the following trust agreements:
Amended and Restated Nuclear Decommissioning Trust Agreement dated 1/1/02 First Amendment to the TXU Generation Company LP Amended and Restated Nuclear Decommissioning Trust Agreement for Comanche Peak Steam Electric Station, Units 1 and 2 dated 12/8/03.
The existing terms of the trust agreements will continueuninterrupted. However, through reorganization, The Bank of New York Mellon will assume all of the obligations under the trust agreements of Mellon Bank, N.A., the current Trustee. Mellon Bank, N.A. was part of Mellon Financial Corporation. Mellon Financial Corporation and The Bank of New York merged on July 2, 2007, to form a holding company, The Bank of New York Mellon Corporation. Following the merger, Mellon Bank, N.A.
remained the Trustee for its trusts and will continue as such until the planned reorganization is completed on July 1, 2008, at which time The Bank of New York Mellon will become the successor Trustee, assuming all of the obligations and responsibilities of the Trustee under the existing terms of the trust agreements.
The change in Trustee is occurring by operation of law, and no amendments to the trust agreements are required. However, the next time that amendments to the trust agreements are changed, the trust agreements will be amended to reflect the new name of the Trustee as well as the recent company name change to Luminant Generation Company LLC.
