A!'I-80-32(ii)TneinformationisofatypecustomarilyheldinconfidencebyWestinghouseandnotcustomarilydisclosedtothepublic.Wesinghousehasarationalbasisordeterminingthetypesofinformationcustomarilyheldinconfidencebyitand,inthatconneciion,utilizesasystemtodetermineuhenandwhethertoholdcertaintypesofinformationinconfidenc.TheapplicationofthatsystmandthesubstanceofthatsystemconstitutesWestinghousepolicyandprovidestherationalbasisrequired.Underthatsystem,informationisheldinconfidenceifitfaIlsinoneormoreofseveraltypes,thereleaseofwhichmightresultinthelossofanexistingorpotentialcom-petitiveadvantage,asfAlaws:(a)Theinformationrevealsthedistinguishingaspectsofaprocess(orcomponent,structure,tool,method,etc.)wherepreventionofitsusebyanyofWestinghouse'scompetitorswithoutlicensefromWestinghouseconsti-tutesacompetitiveeconomicadvantageoverothercompanies.(b)Itconsistsofsupportingdata,includingtestdata,relativetoaprocess(orcomponent,structure,tool,method,etc.),theapplicationofwhichdatasecuresacompetitiveeconomicadvantage,e.g.,byoptimizationorimprovedmarketability.
(c)'r'~0IisusebyacompetitorwouldreducehisexpenditureIof1'esourcesorimprovehiscompetitivepositioninthedesign,manufacture,shipment,installation,assuranceofqualiiy,orlicensingasimilarproduci..{d)Iirevealscosiorpriceinformation,productioncap-acities,budgetlevels,orcommercialsrategiesofMesiinghouse,iiscustomersorsuppliers.(e)Itrevealsaspectsofpast,present,orfutureMest-inghouseorcustomerfundeddevelopmentplansandpro-gramsofpotentialcommercialvaluetoMesiinghouse.(f)Itcontainspatentableideas,forwhichpatentpro-tectionmaybedesirable.(g)ItisnotthepropertyofMestinghouse,butmustbetreatedasproprietarybyMestinghouseaccordingtoagreementswiththeowner.TherearesoundpolicyreasonsbehindtheMesiinghousesystemwhichincludethefollowing:(a)TheuseofsuchinformationbyMestinghousegivesMesiinghouseacompetitiveadvantageoveriiscom-petitors.Itis,therefore,withheldfromdisclosuretoprotecttheMestinghousecompetitiveposition.
~V~~~VCAM-80-32(b)Itisinformationwhichismarketableinmanyways.TheextenttowhichsuchinformationisavailabletocomoetitorsdiminishestheWestinghouseabilitytosellproductsandservicesinvolvingtheuseoftheinformation.(c)UsebyourcompetitoruouIdputWestinghouseatacompetitivedisadvantagebyreducinghisexpenditureofresourcesatourexpense.(d)Eachcomponentofproprietaryinformationpertinenttoaparticularcompetitiveadvantageispotentiallyasvaluableasthetotalcompetitiveadvantage.I,competitorsacquirecomponentsofproprietaryinfor-mation,anyonecomponentmaybethekeytotheentirepuzzle,therebydeprivingWestinghouseofacompetitiveadvantage.(e)UnrestricteddisclosurewouldjeopardizethepositionofprominenceofWestinghouseintheworldmarket,andtherebygiveamarketadvantagetothecompetitioninthosecountries.(f)TheWestinghousecapacitytoinvestcorporateassetsin,researchanddevelopmentdependsuponthesuccess'nobtainingandmaintainingacompeti,tiveadvantage.
AW-80-32(iii)TheinformationisbeingtransmittedtotheCommissioninconfidenceand,undertheprovisionsof10CFRSection2.790,itistobe'eceivedinconfidencebytheCommission.(iv)Theinformationsoughttobeprotectedisnotavailableinpublicsourcestothebestofourknowledgeandbelief.(v)Theproprietaryinformationsoughttobewithheldinthissub-mittalisthatwhichisappropriatelymarkedinWCAP-9725,"WestinghouseTechnicalSupportComplex,"(Proprietary),beingtransmittedbyWestinghouseletterNo.NS-TMA-2261,AndersontoMiller,datedJune13,1980.ThisreportisbeingsubmittedpursuanttotheNRC'sTopicalReportProgramforgenericreviewbytheRegulatoryStaffandisexpectedtobereferencedinseverallicenseeandapplicantsubmittalsinresponsetocertainNRCrequirementsresultingfromtheTMI-2event.ThisinformationispartofthatwhichwillenableWesting-houseto:(a)Applyforpatentprotection.(b)Optimizecontrolroomoperatorandtechnicalsupportpersonnelman-machineinterfacedesignsandcriteria'c)AssistitscustomerstoobtainNRCapproval.(d)JustifythedesignbasisfortheTechnicalSupportComplexfunctionsandinputs. AW-80-32Furtherthisinformationhassubstantialcommercialvalueasfollows:(a)Westinghouseplanstosellthesystemdesignandequip-mentdescribedinpartbytheinformation.(b)WestinghouseplanstoselltheuseoftheinformationtoitscustomersforpurposesofmeetingNRCrequirementsforlicensingdocumentation.(c)Westinghousecanselltestingservicesbasedupontheexperiencegainedandthetestequipmentandmethodsdeveloped.APublicdisclosureofthisinformationislikelytocausesubstantialharmtothecompetitivepositionofWestinghousebecause(1)itwouldresultinthelossofvaluablepatentrights;and(2)it'ouldenhan'cetheabilityofcompetitorstodesign,manufacture,verify,andsellelectricalequipmentforcommercialpowerreactorswithoutcommensurateexpenses.Also,publicdisclosureoftheinformationwouldenableothershavingthesameorsimilarequipmenttousetheinformationtomeetNRCrequirementsforlicensingdocumentationwithoutpurchasingtherighttousetheinformation.ThedevelopmentoftheequipmentdescribedinpartbytheinformationistheresultofapplyingtheresultsofmanyyearsofexperienceinanintensiveWestinghouseeffortandtheexpenditureofaconsiderablesumofmoney. AW-80-32InorderforcompetitorsofWestinghousetoduplicatethisinformation,similarengineeringprogramswouldhavetobeperformedandasignificantmanpowereffort,havingtherequisitetalentandexperience,wouldhavetobeexpendedforsystemdesignsoftwaredevelopment.Furtherthedeponentsayethnot.
