~ Pursuant to 10CFR50.90, New Hampshire Yankee (NHY)-hereby submits the enclosed L
application to amend the Seabrook Station Unit No.1, (Seabrook) Operating License. This amendment.would. authorize a newly. created. entity, the North Atlantic Energy Corporation
.(NAEC), to be included as ~a Licensee and to acquire.and possess Public~ Service Company of New Hampshire's (PSNH) ownership interest in Seabrook. ' Also enclosed with this letter
-is Northeast Utilities Service Company's authorization of NHY to act as their agent in regard to 'this application.

Asidescribed in the appl.ication, this transfer from PSNH. to NAEC =is an integral part.of tthe reorganization plan; ordered by the Bankruptcy Court as a. resolution to the.
lpending 'PSNHqbankruptcy proceedings.- That plan involves the acquisition of PSNH by
" Northeast Utilities. (NU) and,Jthrough a merger action,-- the' formation of - NAEC: and tReorganized ' PSNH as two wholly owned subsidiaries of NU. NAEC will. acquire PSNH's

ownership share of Scabrook; and Reorganized PSNH will. acquire the other assets of PSNH.
i After - the' merger, NAEC will sell the. capacity and energy associated with its Seabrook interest to Reorganized lPSNH.

Document Control Desk Page two NHY has performed a safety evaluation on the proposed operating license amendment provided herein and has determined that it neither involves an Unreviewed Safety Question pursuant to 10CFR50.59 nor a Significant Hazards Consideration pursuant to 10CFR50.92.
The application and proposed amendment have also been reviewed and approved by the Station Operating Review Committee and the Nuclear Safety Audit and Review Committee.
NHY has reviewed the proposed changes in accordance with the criteria specified in 10CFR50.92 and has determined that the proposed changes would not:
1.
Involve a significant increase in the probability or consequences of an accident previously' evaluated.
As a result of the proposed license amendment, there will be no physical change to the Seabreak facility, and all Limiting Conditions for Operation, Limiting Safety System Settings and Safety Limits specified in the Technical Specifications will remain unchanged. Also, the Seabrook Quality Assurance Program, and the Seabrook Emergency Plan, Security Plan, and Operator Training and Requalification Program will be unaffected.
2.
Create the possib!!ity of a new or different kind of accident from any accident previously evaluated.
The proposed amendment will have no effect. on the physical configuration of Seabrook or the manner in which it will operate. The Seabrook plant design and -design basis will temain the same. The current plant safety analyses will therefore remain complete and accurate in addressing the design basis events and in analyzing plant response and consequences.
The Limiting Condition for Operation, Limiting Safety System Settings and Safety Limits specified in the Technical Specifications for Seabrook are not affected by the proposed license amendment.
As such,- the plant conditions for which the design basis accident analyses have been performed will remain valid. Therefore, the proposed license
- amendment cannot create the possibility of a new or different kind of accident from any accident previously evaluated.
3.
Involve a significant reduction in a margin of safety. Plant safety margins are established through Limiting Conditions for Operation, Limiting Safety System Settings and Safety Limits specified in the Technical Specifications. Since there will be no change to the physical design or operation of the plant, there will be no change to any of these margins.
- Thus,lthe proposed license amendment will not involve significant reduction in a margin of safety.
