The transfer by the City of Austin of its 16.0 percent ownership interest in the South Texas Project to Houston, which already holds a 30.8 percent interest therein, brings the aggregate undivided 10 interest of Houston to 46.8 percent; San Antonio owns an undivided 28.0 percent interest therein; and, Central owns an undivided 25.2 percent interest therein.

"Applicants" or "Owners", hereby applies for Class 103 construction permits and forty (40) year operating licenses to construct and operate two (2) nuclear power reactors at the South Texas Project site in Matagorda County, Texas.

Each reactor will have an initial nuclear output of 3800 MWt and a design rating of 3817 MWt (1312 MWe). Also applied for are the appropriate l5 l

The transfer by the City of Austin of its 16.0 percent ownership interest in the South Texas Project to Houston, which already holds a 30.8 percent interest therein, brings the aggregate undivided 10 interest of Houston to 46.8 percent; San Antonio owns an undivided 28.0 percent interest therein; and, Central owns an undivided 25.2 percent interest therein.

agent has certified that as of the close of business on April 29, 1988, Central and South West Corporation's foreign stockholders held 114,917 shares of common stock, Central and South West Corporation's foreign stockholders constituted.2 percent of the total common shareholders and foreign held stock constituted 0.10 percent of total common shares outstanding.

On January 14, 1977, purusant to a merger and corporate restructuring plan approved by the shareholders of HL&P, Houston 10 Industries Incorporated (HI) became the owner of all of HL&P's outstanding common stock and all of the outstanding stock of HL&P's two former subsidiaries, Primary Fuels, Inc. and Utility Fuels, Inc.

In the merger and restructuring, each share of outstanding common stock of HL&P became one share of common ctock of HI.

In addition, HL&P's outstanding convertible debentures became cenvertible into the common stock of HI rather than into HL&P common stock. None of the other outstanding securities of HL&P, including its cumulative preferred stack and first mertgage bonds, were affected. New subsidiaries have been formed at HI since 19T/.

They are as follows:

Houston Industries Finance, Inc., KBLCOH Inc., Innovative Controlo, Inc., and Development Ventures, Inc.

HI is a holding company as defined in the Public Utility Holding Company Act.

It is exempt from regulation as a "registered holding company" under that Act except with respect to the acquisition of securities of other public utility companies.

Such exanption is based upon the intrastate character of the operations of HI's public utility subsidiary, HL&P, and the filing with the SEC of the annual exemption statement pursuant to its Rule U-2.

Description and Proposed Use of the Facility The Applicants are designing and constructing, pursuant to Construction 5

Permit Nos. CPPR 128 and CPPR-129, and propose to operate, a nuclear electric generating station at the South Texas Project site consisting of two (2) generating units utilizing pressurized water reactors.

Each reactor will have an initial nuclear output of 3800 Wt (an additional 17 We originates from non nuclear sources), and each associated turbine generator will have an estimated gross electrical output of 1312 We, The facility will include associated transformers, switchyard, support buildings, and ad61.tional auxiliary systems as required. The Containment and Engineervd Sabty Features are designed and evaluated for ope ation at a power level of 4100 Wt.

and the related facilities are designed to accommodate a Nuclear Steam Supply System output of 3879 We which corresponds to an estimated gross electrical output of 1330 We, The South Texas Project site is located approximately fifteen (15) miles Southwest of Bay City on the west side of the Colorado River in Matagorda 2

County. The site consists of a nominal 12,300 acres.

About 7,300 acres are required for a cooling reservoir; 7,000 acres of which will be the effective cooling area, and 300 acres are required for the embankment sarrounding the reservoir. The restricted area will include 1,146 acres on land and 850 acres on water for a total of 1,996 acres.

Some 200 2

acres of the restricted area will be utilized for the plant itself.

Another 100 acres will be required for railroad spurs, parking areas and the switchyard. The detailed site plan, safety and environmental considerations and specifications are contained in the Final Safety Analysis Report (FSAP.) and the Environmental Report Operating License Stage (ER/0L Stage), both of which constitute a part of this application.

These documents were tendered May 10, 1978. Additional information will 5

be found in the Prelimirary Safety Analysis Report (PSAR) and in the Environmental Report Construction Permit Stage (ER/CP Stage) already a part of this docket.

The South Texas Project facilities will be utilized for the generation of clectric energy for transmissior, and ssle by the individual Applicants.

The proposed facility is a necessary addition to the system of each Applicant to provide for increasing customer electrical demand and to replace fossil generating capacity.

Funds will be available from normal and regular sources for construction of additions to each Applicant's property.

Funds include: (1) funds on hand; (2) funds available from internal sources, primarily retained revenues and provisions for depreciation; (3) short-term bank loans and commercial paper; and (4) the sale of securities as required.

Completion Dates The Operating License for Unit 1 was issued on August 21, 1987.

Th 10 earliest construction completion date for Unit 2 is estimated to be December 1988. The latest construction completion date for Unit 2, as stated in Construction Permit CPPR 129, as amended, is December 31, 1980. The NRC order amending the construction completion 8

date in the Construction Permit was issued April 30, 1982.

Regulatory Axencies Central is subject to the jurisdiction of the Federal Energy Regulatory Commission.

By order of July 21, 1976, in Docket No. E 9558, the Federal Power Commission ruled that Houston was not subject to its jurisdiction.

In April, 1978, the United States Circuit Court of Appeals for the District of Columbia ruled that The Federal Power Commission order of 5

July 21, 1976, was not based on sufficient findings of fact and remanded the matter to the Federal Energy Regulatory Commission, successor to the Federal Power Commission, for further consideration.

This proceeding was 8

dismissed by the FERC in approving a settlement in Docket Nos. E 9558 and EL79-8. The setclement provides that Houstoa is not subject to the jurisdiction of the FERC. The address of the Federal Energy Regulatory 7

Contents of Application The information required by 10 C.F.R. 50.33(a) and 10 C.F.R. 50, Appendix L, is set forth in "Information Requested by the Attorney General for Antitrust Review " which is a part of this application.

The Final Safety Analysis Report, South Texas Project Units 1 and 2 docketed by NRC on July 12, 1978, as amended, and which pursuant to 10 C.F.R. 50.34(b) describes the facility, presents the design basis, and the limits on its operation, and presents a safety analysis of the structures, systems and components of the facility as a whole, is a part 8

of this application.

Radiological emergency response plans for the State of Texas and for the local governmental entities that are wholly or partially within the plume exposure pathway Emergency Planning Zone will be submitted pursuant to 10 C.F.R. 50.33(g) as a part of this application under separate cover.

Pursuant to 10 C.F.R. 50.34(c) and 10 C.F.R. 50.34(d), a Physical Secu-rity Plan and a Safeguards Contingency Plan for the South Texas Project Units 1 and 2 have been submitted, separately, to the NRC as a part of this application.
